Please read this White-Label Program Agreement carefully.

This is a contract between you (the "Company") and AIplify Solutions Inc. ("AIplify Solutions"). This contract outlines how we will collaborate and the terms governing our business relationship. As a legal document, we have made efforts to balance readability with legal clarity.

This Agreement applies to your participation in the AIplify Solutions White-Label Program (the "Program"). Participation is contingent upon your acceptance of the terms outlined herein.

We reserve the right to periodically update these terms. Should the Program undergo significant changes, become part of another program, or terminate, we will notify you through electronic means, which may include email or your Program dashboard. If you do not agree to these changes, you may terminate the Agreement as outlined below.

Definitions

• "Program" refers to the white-label program operated by AIplify Solutions under the terms specified within this Agreement.
• "Agreement" refers to this White-Label Program Agreement and any materials or links referred to within.
• "AIplify Solutions," "We," "Us," "Our" refers to AIplify Solutions Inc.
• "Company" refers to the entity participating in the Program and operating under a whitelabel arrangement.
• "End User" refers to the Company’s customer, to whom AIplify Solutions products or services are delivered under the Company's brand.
• "Whitelabel Services" refers to the suite of AIplify Solutions products and services that the Company markets and delivers under its own branding.
• "Fees" refers to the payments made by the Company for the use of AIplify Solutions' Whitelabel Services.

General Provisions of the White-Label Program

• Program Registration: The Company signs up to participate in the AIplify Solutions White-Label Program.
• Whitelabel Services: The Company will market AIplify Solutions' automation and AI services under its own brand and engage in the promotion, sale, and delivery of these services to End Users.
• Fee Structure: The Company will pay fees to AIplify Solutions for the use of Whitelabel Services, billed periodically as outlined in the agreement. The Company will collect revenue from its End Users at rates determined by the Company.
• Support and Service: AIplify Solutions will provide backend services and support, while the Company will manage its relationship with End Users.

Company's Obligations

• Compliance: The Company is responsible for maintaining its business operations in compliance with all applicable laws, including intellectual property, data protection, and privacy regulations.
• Branding and Marketing: The Company may brand AIplify Solutions' Whitelabel Services as its own, subject to compliance with this Agreement. The Company agrees not to misrepresent or misuse AIplify Solutions' products and services.
• Customer Relationship: The Company is responsible for all customer relationships, including pricing, customer service, and dispute resolution with End Users.
• Prohibited Activities: The Company shall not engage in activities that could harm the reputation of AIplify Solutions, including deceptive marketing or unethical business practices.
• Privacy Policy: The Company must maintain a privacy policy on its website, outlining how customer information is collected, stored, and used, in compliance with applicable privacy laws.

Payment and Fees

• Fee Structure: Fees owed to AIplify Solutions will be based on the Company's usage of the Whitelabel Services, as outlined in the Program’s pricing schedule.
• Payment Terms: Fees are due according to the billing schedule specified in this Agreement. Failure to make timely payments may result in suspension or termination of services.
• Revenue Collection: The Company is responsible for collecting payments from its End Users for the services delivered under the whitelabel arrangement.

Term and Termination

• Term: This Agreement begins upon acceptance and continues until terminated by either party.
• Termination by AIplify Solutions: AIplify Solutions may terminate this Agreement at any time with notice if the Company fails to comply with any term, fails to make timely payments, or engages in activities that harm AIplify Solutions' business.
• Termination by the Company: The Company may terminate the Agreement by providing written notice. Upon termination, access to AIplify Solutions' Whitelabel Services will cease.
• Post-Termination Obligations: The Company must immediately cease branding, promoting, or selling AIplify Solutions' Whitelabel Services. All outstanding fees remain payable.

Indemnity

The Company agrees to indemnify and hold harmless AIplify Solutions against any claims, actions, or demands arising from the Company’s breach of this Agreement, misuse of Whitelabel Services, or claims by the Company’s End Users.

Limitation of Liability

AIplify Solutions shall not be liable to the Company for any indirect, incidental, consequential, or exemplary damages arising out of this Agreement. The Company assumes full responsibility for the use and branding of AIplify Solutions' Whitelabel Services.

Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the jurisdiction where AIplify Solutions is headquartered. Any disputes shall be resolved in the courts of that jurisdiction.

Final Provisions

No amendments to this Agreement shall be binding unless in writing and signed by both parties. Any provision found invalid shall not affect the remaining provisions of this Agreement.
